sentiments.

Guys, wait.   If nobody who cares about the Code, say, is ever allowed to
accept a position on a governing board of a corporation that violates it, how
and why will any such corporation ever begin to conform to it?     The job of
outside directors is to try to influence corporations out of irresponsible
behavior.
