Regarding ex-officio members of a board of directors and Greg's "Please note ... " comment in his number 3. below.

In California, AB 1233 went into effect on January 1, 2010.

This statute AB 1233 says that nonprofit corporations may not have non-voting directors, and that ex officio directors have the same rights (including the right to vote) as any other director. 

I imagine that unless a nonprofit's bylaws say otherwise a member of a board of directors is, by default, a director?
