Here is my opinion on the subject:
1. The Executive Director should be a non-voting, ex-officio member of the Board of Trustees.
2. The Executive Director (ED) should be the recording secretary of all of the various committees of the Board of Trustees (BOT) as identified in the BOT's Charter and By-Laws. The reasons are obvious.... the ED knows what the BOT is doing.
3. As an ex-officio member of the BOT, the ED does not have a term limit on the BOT. The ED is, ipso facto, a member of the BOT by virtue of her/his office (e.g. ED). Please note there may be voting ex-officio members as well as non-voting ex-officio members.....but the ED should be a non-voting member of the BOT.

We are in the process of creating and adopting bylaws for a new Science Center in South Bend, IN and would like feedback on whether to have the Executive Director as a voting member, and possibly executive Board member. Some Boards have the E.D. as Board Chair. Most have the E.D. explicitly not a Board member. I can see benefits to both. Having served on many Boards over the years this dynamic can be very important and needs to be addressed up front. Clear chains of command need to be defined but what is the best shape of the chain?
